Welcome to Paniac (“Company”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your access to and use of Paniac’s services, including our website, applications, APIs, and any related products and services (collectively, the “Service”). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

1. Acceptance of Terms

By creating an account, subscribing to a plan, or using any part of the Service, you agree to comply with and be bound by these Terms and our Privacy Policy. These Terms apply to all users of the Service, including individuals and organizations.

2. Changes to Terms

We reserve the right to modify or update these Terms at any time. We will notify you of any changes by posting the new Terms on our website and updating the “Last Updated” date above. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

3. Description of Service

Paniac is a Software as a Service (SaaS) platform that enables users to send alerts through various channels, including:

  • Email
  • SMS
  • Telegram
  • Local Calls
  • Android Voice Calls
  • Android Notifications

Key Features:

  • Personal Usage: Individual users can send alerts exclusively to their Paniac account via API integration.
  • Team Usage: Users representing teams from small organizations or large companies can create alerts within their account, add team members, and send alerts to approved team members through the available channels.
  • Marketplace: Paniac offers a marketplace where users can integrate additional Paniac Extensions (e.g., AWS Budget Alert, Up Call for website downtime). Extensions are separate from the core Paniac Service and may have their own subscription fees.

4. User Accounts

4.1 Registration

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information when registering for an account and to update this information as necessary to maintain its accuracy. You are responsible for maintaining the confidentiality of your account credentials and are fully responsible for all activities that occur under your account.

4.2 Team Accounts and Members

If you are using Paniac as a representative of an organization, you may invite team members to receive alerts. Invited team members must accept the invitation and register for their own account. Once they accept, you can send alerts to these members via the various channels provided by Paniac.

As a team administrator, you are responsible for ensuring that your team members comply with these Terms. You also understand that the addition or removal of team members may affect the functionality of alerts and your account's usage.

5. Use of the Service

5.1 Alerts and API Usage

You may generate and send alerts through Paniac’s system via API integration. The Service is designed to provide alerts through different channels as described, and you are responsible for integrating the API correctly and ensuring that all alerts are sent as intended.

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You may not use the Service to send spam, unauthorized messages, or any content that violates the rights of others.

5.2 Subscriptions

Paniac offers various subscription packages that govern the usage limits of alerts and features. These packages are subject to their own terms, and you are responsible for choosing the appropriate plan based on your needs. Usage beyond the limits of your selected plan may result in additional charges or service limitations.

6. Mobile Applications

Paniac offers a dedicated Android application for users to receive alerts through push notifications and voice calls. The app relies on Android’s telephony services to deliver voice alerts directly to your device.

By using the Paniac Android App, you agree to the following:

  • You authorize Paniac to use the telephony services on your Android device to send voice alerts, which may include the use of your phone’s call functionality.
  • Push notifications will be sent based on your account settings and permissions granted within the app. You may adjust these settings in the app or in your device’s notification settings.

7. Marketplace and Extensions

Paniac includes a marketplace where users can access third-party or proprietary Paniac Extensions, such as AWS Budget Alert or Up Call. These Extensions are separate from the core Paniac Service and may have their own subscription fees, terms, and limitations. Subscriptions to Extensions are independent of your Paniac plan, and using Extensions may incur additional costs.

9. Billing and Payment

9.1 Fees

You agree to pay the fees for the subscription plan you choose, as well as any additional fees associated with the usage of Paniac Extensions or exceeding the usage limits of your plan. All fees are non-refundable unless otherwise stated.

9.2 Billing Cycle

The Service is billed on a recurring basis according to the plan you select. You will be charged in advance for the subscription period. If you upgrade or downgrade your plan, the new rate will apply in the next billing cycle unless specified otherwise.

9.3 Payment Information

You agree to provide current, accurate, and complete payment information. Failure to do so may result in suspension or termination of your access to the Service. If we cannot process your payment, we may attempt to reprocess it and notify you of any issues.

10. Termination

You may terminate your account at any time by contacting our support team or through your account settings. Upon termination, you will lose access to the Service, and any remaining alerts or data associated with your account may be deleted.

We reserve the right to suspend or terminate your account if you violate these Terms, engage in illegal activities, or misuse the Service. In such cases, no refund will be provided.

11. Intellectual Property

All intellectual property rights, including software, logos, and content provided through the Service, are the property of Paniac or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

You agree not to reverse engineer, modify, distribute, or reproduce any part of the Service without our explicit written permission.

12. Limitation of Liability

To the fullest extent permitted by law, Paniac and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Service.

13. Disclaimer of Warranties

The Service is provided “as is” and without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

14. Indemnification

You agree to indemnify and hold Paniac harmless from any claims, damages, liabilities, or expenses arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction where Paniac operates, without regard to its conflict of law principles.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any alerts will be delivered successfully or timely.

16. Dispute Resolution

Any disputes arising from these Terms or your use of the Service will be resolved through binding arbitration in accordance with the rules of the relevant arbitration body, rather than in court, except for small claims.
